Mindset CoachK Coaching Agreement
Coach: Mindset CoachK brand and any of its Affiliates, headquartered in Alexandria, VA (hereinafter referred to as the "Coach")
Client: [Client w has read, understood and has electronically signed, accepted and agrees to adhere to all enclosed Agreements and Policies and also agrees to be contacted by Mindset CoachK and any of its affiliates via text, email, social media or telephone or any other communication channel that the Mindset CoachK and its affiliates deem appropriate.
1. Purpose of Agreement:
This Coaching and Mentoring Agreement (the "Agreement") outlines the terms and conditions under which the Coach will provide coaching and mentoring services to the Client under the "Learn and Implement" 12-Month Program (the "Program"). The Program is designed to facilitate the Client's personal and professional growth through monthly learning modules and weekly implementation challenges.
2. Description of Services:
The Coach agrees to provide the following services to the Client during the Term of this Agreement:
Monthly Course Modules: The Client will receive access to a new course module in Week 1 of each month, totaling twelve (12) modules over the 12-month Program. The format of these modules may include but is not limited to live webinars, pre-recorded videos, downloadable materials, and interactive exercises.
Weekly Implementation Challenges: For the remaining three (3) weeks of each month, the Client will receive weekly challenges designed to facilitate the implementation of the lessons learned in the corresponding monthly course module. These challenges may include specific action items, reflection exercises, and accountability measures.

3. Program Schedule:
The Program will commence on [Start Date] and continue for a period of twelve (12) months (the "Initial Term"). The schedule for course module release and weekly challenges will be communicated to the Client separately.
4. Client Responsibilities:
The Client agrees to:
Actively participate in the Program, including engaging with the course materials and completing the weekly challenges to the best of their ability.
Be open to feedback and willing to implement strategies and insights shared by the Coach.
Communicate openly and honestly with the Coach regarding their progress, challenges, and any concerns.
Respect the confidentiality of other participants if engaging in group coaching sessions or online communities.
Ensure timely payment of the Program fees as outlined in Section 6.
5. Coach Responsibilities:
The Coach agrees to:
Deliver the Program content in a professional and timely manner.
Provide guidance, support, and encouragement to the Client throughout the Program.
Maintain the confidentiality of the Client's personal and professional information shared during coaching sessions.
Utilize their expertise and experience to facilitate the Client's growth and development.

6. Fees and Payment:
The 12-Month Program fee is paid monthly.
All payments are due on the dates specified. Late payments may be subject to a Late Fee of 20% late fee.
7. Confidentiality:
All information shared by the Client with the Coach during the course of this Agreement will be kept strictly confidential, except where disclosure is required by law or with the Client's explicit written consent. Similarly, the Client agrees to maintain the confidentiality of any proprietary information or methodologies shared by the Coach.
8. Intellectual Property:
All course materials, including but not limited to videos, documents, templates, and exercises, are the intellectual property of the Coach and are provided for the Client's personal use within the Program only. The Client is not authorized to reproduce, distribute, or share these materials with third parties without the Coach's prior written consent.
9. Disclaimer of Guarantee:
The Coach's role is to provide guidance and support to the Client. While the Coach is committed to the Client's success, the Client acknowledges that their progress and results will depend on their active participation, commitment, and implementation of the strategies learned. The Coach does not guarantee any specific outcomes or results from the Program.
10. Limitation of Liability:
To the maximum extent permitted by law, the Coach's liability to the Client for any claims arising out of or related to this Agreement or the Program shall be limited to the total fees paid by the Client to the Coach under this Agreement. The Coach shall not be liable for any indirect, incidental, consequential, or punitive damages.
11. Term and Termination:
This Agreement shall commence on the Start Date and continue for the Initial Term of twelve (12) months.
Automatic Renewal: Upon completion of the Initial Term, this Agreement will automatically renew for subsequent 12-month terms (each a "Renewal Term") unless either party provides written notice of non-renewal to the other party at least thirty (30) days prior to the end of the then-current term.
Termination for Cause: Either party may terminate this Agreement upon written notice if the other party materially breaches any provision of this Agreement and fails to cure such breach within thirty (30) days after receiving written notice of the breach.
Client Termination: The Client may terminate this Agreement with written notice, subject to the refund policy outlined in Section 12.
Coach Termination: The Coach may terminate this Agreement with written notice if circumstances arise that make it unduly difficult or impossible to provide the services, or if the Client engages in behavior that the Coach deems disruptive or harmful to the Program or other participants.

13. Important Disclaimers to Mention:
No Guarantee of Results: While you are committed to supporting the client, we cannot guarantee specific outcomes or results. Client success depends on their own effort and implementation.
COACHING IS NOT THERAPY OR COUNSELING : Our services are focused on personal and professional development and are not a substitute for mental health treatment. If a client presents with issues that seem beyond the scope of coaching, we will advise you to seek professional help.
Client Responsibility: You are ultimately responsible for their own decisions and actions. Coaching provides guidance and support, but the client makes the choices.

14. Governing Law and Dispute Resolution:
This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of laws principles. Any dispute arising out of or relating to this Agreement shall be resolved through good faith negotiation. If negotiation fails, the parties agree to submit to the exclusive jurisdiction of the state and federal courts located in Alexandria, Virginia.
15. Entire Agreement:
This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous communications and proposals, whether oral or written, relating to the subject matter hereof.
16. Amendments:
Refund Policy is an amendment to this Agreement and shall be effective unless it is in writing and signed by both parties.
17. Notices:
All notices and other communications hereunder shall be in writing and shall be deemed to have been duly given when delivered personally, sent by certified or registered mail, return receipt requested, or sent by reputable overnight courier service to the addresses set forth above (or to such other address as a party may designate by notice to the other party).
